Terms of Business<\/h1>\n

Scope of these terms<\/h3>\n

These Terms of Business apply to all services and products provided by media-met \u2014 website development, visual identity, SEO, website maintenance, digital products, and other digital services. By ordering a service or purchasing a product, the Client accepts these terms.<\/p>\n

1. Parties<\/h3>\n

Provider:<\/strong> media-met, obrt za ra\u010dunalne usluge (short name: media-met), Karlovac, Republic of Croatia \u2014 VAT ID: HR98877392843 (the \"Provider\" or \"media-met\")<\/p>\n

Client:<\/strong> the natural or legal person ordering a service or purchasing a product (the \"Client\")<\/p>\n

2. Orders and formation of contract<\/h3>\n

A contractual relationship is formed:<\/p>\n

    \n
  • when the Client accepts a written quote (email confirmation),<\/li>\n
  • upon payment of a deposit or the full amount,<\/li>\n
  • upon signing a contract (for larger projects).<\/li>\n<\/ul>\n

    Every quote is valid for 15 days from the date of issue unless otherwise stated.<\/p>\n

    3. Prices and payment<\/h3>\n

    3.1. Prices<\/strong> All prices are stated in euros (EUR). media-met is exempt from VAT pursuant to Article 90(1) of the Croatian VAT Act (Zakon o porezu na dodanu vrijednost) \u2014 VAT is not charged.<\/p>\n

    3.2. Payment methods<\/strong><\/p>\n

      3.4. Late payment<\/strong> If payment is more than 15 days late, media-met reserves the right to pause work on the project until the debt is settled. For delays longer than 30 days, statutory default interest applies.<\/p>\n

      4. Delivery deadlines<\/h3>\n

      Delivery deadlines are agreed individually for each project and stated in the quote. Deadlines begin to run:<\/p>\n

        \n
      • from the day the deposit is paid,<\/li>\n
      • from the day the Client provides all required materials (text, images, logos, access credentials).<\/li>\n<\/ul>\n

        media-met is not responsible for delays caused by the Client's late delivery of materials.<\/p>\n

        5. Services by type<\/h3>\n

        5.1. Website development<\/strong><\/p>\n

          \n
        • The number of pages, features, and design iterations is defined in the quote.<\/li>\n
        • The Client is entitled to 2 rounds of revisions at no extra cost.<\/li>\n
        • Each additional round of revisions is charged at an hourly rate of EUR 30\/hour.<\/li>\n
        • The Client is responsible for delivering all text and visual materials by the agreed deadline.<\/li>\n
        • Hosting and a domain are not included in the development price unless otherwise stated.<\/li>\n
        • After delivery, the Client has 7 days to report errors within the agreed scope \u2014 corrections are free.<\/li>\n<\/ul>\n

          5.2. Visual identity and logo design<\/strong><\/p>\n

            \n
          • Includes the agreed number of concepts and versions stated in the quote.<\/li>\n
          • The Client is entitled to 2 or more rounds of revisions, depending on the chosen package, at no extra cost.<\/li>\n
          • Final materials are delivered in the agreed formats (AI, JPG, EPS, PDF, PNG, SVG).<\/li>\n
          • Copyright in the final design transfers to the Client upon payment of the full amount.<\/li>\n
          • media-met reserves the right to display the work in its portfolio.<\/li>\n<\/ul>\n

            5.3. SEO<\/strong><\/p>\n

              \n
            • SEO results are not guaranteed \u2014 search engine rankings depend on algorithms beyond our control.<\/li>\n
            • media-met uses only \"white hat\" SEO techniques in line with search engine guidelines.<\/li>\n
            • The Client must provide access to the website, Google Analytics, and Google Search Console.<\/li>\n
            • An ongoing SEO service may be cancelled with 30 days' notice.<\/li>\n<\/ul>\n

              5.4. Website maintenance<\/strong><\/p>\n

                \n
              • The service renews monthly, automatically until cancelled.<\/li>\n
              • Includes: WordPress, theme, and plugin updates, security checks, backups.<\/li>\n
              • Minor content changes (up to 1 hour\/month) are included in the base plan.<\/li>\n
              • Larger changes are charged separately as agreed.<\/li>\n
              • The Client must provide admin access to the WordPress site.<\/li>\n
              • Cancellation with 15 days' notice before the end of the current month.<\/li>\n<\/ul>\n

                5.5. Digital products (WordPress plugins)<\/strong><\/p>\n

                  \n
                • Delivered as downloadable files after payment.<\/li>\n
                • Each buyer uses their own API key and bears the cost of external services.<\/li>\n
                • The license is personalized and valid for one domain (except the Agency plan).<\/li>\n
                • Resale or redistribution without permission is prohibited.<\/li>\n
                • See the EULA for details on the terms of use.<\/li>\n<\/ul>\n

                  6. Withdrawal and refunds<\/h3>\n

                  For the consumer right of withdrawal by product type (plugins, services, made-to-order work), see the separate Refund & Complaints Policy.<\/em><\/p>\n

                  6.1. Withdrawal by the Client<\/strong><\/p>\n\n\n\n\n\n\n\n

                  6.2. Withdrawal by media-met<\/strong> media-met reserves the right to withdraw from a project in the event of:<\/p>\n

                    \n
                  • non-payment of a deposit or installment on time,<\/li>\n
                  • requests that conflict with applicable laws or ethical standards,<\/li>\n
                  • inability to cooperate due to obstruction by the Client.<\/li>\n<\/ul>\n

                    If media-met withdraws through no fault of the Client, the deposit is refunded in full.<\/p>\n

                    7. Copyright and intellectual property<\/h3>\n

                    Until the full amount is paid, all materials produced remain the property of media-met. Upon payment of the full amount:<\/p>\n

                      \n
                    • Websites:<\/strong> the Client receives the right to use \u2014 the theme code and customizations become the Client's property; plugins used are subject to their own licenses.<\/li>\n
                    • Visual identity and logo:<\/strong> copyright transfers to the Client.<\/li>\n
                    • Text content:<\/strong> if written by media-met, copyright transfers to the Client.<\/li>\n
                    • WordPress plugins:<\/strong> licensed, not sold \u2014 see the EULA.<\/li>\n<\/ul>\n

                      media-met reserves the right to display all materials produced in its portfolio, unless the Client expressly requests confidentiality.<\/p>\n

                      8. Liability and warranty<\/h3>\n

                      media-met warrants that services will be provided professionally and in line with good industry practice. media-met is not liable for:<\/p>\n

                        \n
                      • loss of income or business opportunities that may be indirectly caused by late delivery,<\/li>\n
                      • problems caused by changes to hosting infrastructure, domains, or third-party services,<\/li>\n
                      • security breaches arising after delivery due to the Client's neglect of updates,<\/li>\n
                      • compatibility with future versions of software platforms.<\/li>\n<\/ul>\n

                        9. Confidentiality<\/h3>\n

                        Both parties undertake to keep confidential the business information obtained during the collaboration. This includes access credentials, business plans, and technical information. The confidentiality obligation remains in force after the collaboration ends.<\/p>\n

                        10. Complaints<\/h3>\n

                        Complaints are submitted in writing to info@media-met.hr within 7 days of delivery. media-met undertakes to respond within 5 business days. Legitimate complaints are resolved by a free correction within a reasonable time.<\/p>\n

                        11. Governing law and dispute resolution<\/h3>\n

                        These terms are governed by the law of the Republic of Croatia. The parties will attempt to resolve disputes amicably. In the event of litigation, the competent court in Karlovac has jurisdiction.<\/p>\n

                        For consumers: nothing in these terms affects mandatory consumer-protection provisions or a consumer's right to bring proceedings before the court of their place of residence.<\/em><\/p>\n

                        12. Changes to these terms<\/h3>\n

                        media-met reserves the right to amend these terms with prior notice published on the website. Existing contracts are governed by the terms in force at the time the contract was concluded.<\/p>\n
