1. Parties and definitions

This End User License Agreement (the “Agreement”) is entered into between:

1.1. Definitions

“Plugin”

The AI Agent WordPress Plugin software — an AI chatbot assistant that automatically answers questions from visitors to the User's website.

“License Key”

A unique alphanumeric code in the format AAGT-XXXX-XXXX-XXXX assigned to the User at purchase, which activates the Plugin on the number of domains defined by the purchased license tier.

“Anthropic API”

The Anthropic (Claude) service through which the Plugin generates responses. To operate the Plugin, the User enters their own Anthropic API key and bears the cost of using that service.

“Conversation Data”

Visitor messages and site content that the Plugin sends to the Anthropic API to generate responses, using the User's own API key.

“License Server”

The media-met endpoint that periodically verifies the validity of the License Key (media-met.hr/wp-json/aagt-license/v1).

2. Scope of the license

media-met grants the User a non-exclusive, non-transferable license to use the Plugin solely under the terms of this Agreement. The license is purchased directly through media-met.hr.

2.1. What the license includes

• Use of the Plugin on the number of domains defined by the purchased tier (see 2.2)
• Access to all updates released for the Plugin during the license term
• Technical support by e-mail (info@media-met.hr) for installation and configuration questions

2.2. License tiers

All tiers are annual and valid for 12 (twelve) months from the date of purchase. After expiry the Plugin keeps working, but the User no longer receives updates or technical support; to continue, the User purchases a new annual license.

2.3. What is NOT included

• Access to the source code (the Plugin is delivered in compiled/minified form)
• The right to resell, distribute or transfer the Plugin or the License Key to third parties
• Anthropic API costs — borne by the User via their own API key
• Free custom development or enhancements on request

3. Activation and license check

3.1. Activation

The Plugin requires activation of the License Key (AAGT-XXXX-XXXX-XXXX) via the Plugin settings (License section). The number of domains is defined by the purchased license tier.

3.2. Weekly check

An activated license is verified automatically once a week (WP-Cron) against the media-met license server. Only the domain and the License Key are transmitted — no Conversation Data and no visitor personal data.

If the check fails for network reasons, the Plugin continues to work during a 14-day grace period. After the grace period a warning is shown in the admin panel. Expired annual license: yellow warning. Inactive license: red error.

3.3. Domain transfer

The User may deactivate the license on one domain and activate it on another, within the domain limit of the purchased tier. Simultaneous activation on more domains than the tier allows is not permitted.

4. User obligations

4.1. Visitor data and GDPR

To generate responses, the Plugin sends visitor messages and site content to the Anthropic API, using the User's own API key. media-met has no access to these conversations and does not store them.

The User acts as the Controller of the visitors' personal data and is solely responsible for: the lawfulness of processing, informing visitors that the site uses an AI assistant and that messages are processed via the Anthropic service, updating their own Privacy Policy, and compliance with Anthropic's terms.

4.2. Prohibited actions

• Decompiling, disassembling or attempting to obtain the Plugin's source code
• Selling, assigning, renting or transferring the Plugin or the License Key to third parties
• Removing or altering copyright notices in the Plugin's code
• Using the Plugin to process data contrary to law or the rights of third parties
• Sharing the License Key to activate on more domains than the tier allows

5. Intellectual property

The Plugin, including all code, design and documentation, is the exclusive property of media-met and is protected by applicable copyright laws.

This Agreement transfers no ownership rights to the User — it grants only the right of use described in Section 2. All improvements made by media-met remain the exclusive property of media-met.

6. Anthropic API and third parties

To generate responses, the Plugin uses the Anthropic (Claude) API via the User's own API key. media-met has no control over that service.

• The terms of use, pricing and availability of the Anthropic API are determined solely by Anthropic; the User is bound by Anthropic's terms
• The cost of using the API is borne solely by the User
• media-met is not liable for errors, interruptions, price changes or changes in the Anthropic service or other integrated services
• The User is responsible for compliance with the terms of use of each integrated service

7. Right of withdrawal and refunds

Right to unilateral termination: The Buyer has the right to withdraw from the purchase within 14 days without stating a reason, in accordance with the Croatian Consumer Protection Act (NN 19/22 et al.) and EU Directive 2011/83/EU.

Legal persons purchasing for business purposes are not consumers within the meaning of the Consumer Protection Act; disputes are resolved under this Agreement and applicable Croatian commercial law.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1. media-met does not warrant that the Plugin will operate without errors or interruptions, or that it will be compatible with future versions of WordPress or PHP. The Plugin is provided “as is”.

8.2. Responses generated by the AI are probabilistic and may be inaccurate, incomplete or inappropriate. media-met is not liable for content the AI generates nor for decisions made on the basis of such responses; the User is responsible for supervising and configuring the Plugin.

8.3. media-met is not liable for any direct or indirect damage arising from use of the Plugin, including but not limited to: Anthropic API costs, interruptions or changes in third-party services, lost profit or data loss.

8.4. The total liability of media-met under this Agreement shall in no case exceed the amount the User paid for the license.

9. Data protection — DPA

Within the meaning of the GDPR (EU Regulation 2016/679):

• media-met acts as a Processor only to the extent that the Plugin communicates with the media-met license server for license verification (only the domain and License Key are transmitted — no Conversation Data)
• Conversation Data (visitor messages) is transmitted directly to the Anthropic API via the User's key and does not pass through media-met
• The User acts as the Controller of visitors' personal data; Anthropic is a sub-processor under the User's own agreement with Anthropic
• This section constitutes a Data Processing Agreement (DPA) between the parties with respect to license-check communication

9.1. media-met's obligations as Processor

• Process the data (domain, License Key) solely for the purpose of license validation
• Not share that data with third parties
• Implement appropriate technical data-protection measures
• Notify the User promptly of any security breach

10. Termination

10.1. Automatic termination

• On expiry of the annual license, if the User does not renew
• If the User breaches any term of this Agreement
• By the User deleting or uninstalling the Plugin

10.2. Consequences of termination

Upon termination of the Agreement, the User undertakes to uninstall the Plugin and remove all copies. media-met reserves the right to deactivate the License Key.

11. Governing law and disputes

This Agreement is governed by the law of the Republic of Croatia. The parties shall attempt to resolve any dispute amicably. If an amicable resolution is not possible, the court with subject-matter jurisdiction in Karlovac shall have jurisdiction.

For consumer disputes, the User may contact the State Inspectorate or use the EU online dispute resolution platform at ec.europa.eu/consumers/odr.

12. Final provisions

media-met reserves the right to amend this Agreement with prior publication on media-met.hr. For existing licenses, the terms in force at the time of purchase apply.
