1. Parties and definitions

This End User License Agreement (the “Agreement”) is entered into between:

1.1. Definitions

“Plugin”

The WP Maintenance CRM WordPress Plugin software, in the version stated at purchase.

“License Key”

A unique alphanumeric code in the format WSMC-XXXX-XXXX-XXXX assigned to the User at purchase, which enables activation of the Plugin on a single domain.

“Domain”

A single WordPress installation for which the License Key is activated and confirmed by a weekly check on the media-met license server.

“Client Data”

Data the User enters into the Plugin (the User's own clients, tickets, invoices, time logs and reports), stored exclusively on the User's WordPress installation.

“License Server”

The media-met endpoint that periodically verifies the validity of the License Key (media-met.hr/wp-json/aagt-license/v1).

2. Scope of the license

media-met grants the User a non-exclusive, non-transferable license to use the Plugin solely under the terms of this Agreement. The license is purchased directly through media-met.hr.

2.1. What the license includes

• Use of the Plugin on one (1) WordPress domain per purchased License Key
• Access to all updates released for the Plugin during the license term
• Technical support by e-mail (info@media-met.hr) for installation and configuration questions

2.2. License types

Both license types cover one (1) domain. One purchase = one License Key = one domain.

2.3. What is NOT included

• The right to install on multiple domains without purchasing additional licenses
• The right to resell, distribute or transfer the Plugin or the License Key to third parties
• Access to the source code (the Plugin is delivered in compiled/minified form)
• Free custom development or enhancements on request

3. Activation and license check

3.1. Activation

The Plugin requires activation of the License Key (WSMC-XXXX-XXXX-XXXX) on the target domain via WSM CRM → Settings → License. One license is valid for one domain.

3.2. Weekly check

An activated license is verified automatically once a week (WP-Cron) against the media-met license server. Only the domain and the License Key are transmitted — no Client Data.

If the check fails for network reasons, the Plugin continues to work during a 14-day grace period. After the grace period a warning is shown in the admin panel; the Plugin remains functional in all cases. Expired annual license: yellow warning. Inactive license: red error.

3.3. Domain transfer

The User may deactivate the license on one domain and activate it on another. Simultaneous activation on multiple domains with a single License Key is not permitted.

4. User obligations

4.1. Data protection (GDPR)

The Plugin stores the business data of the User's clients exclusively in the database of the User's WordPress installation. media-met has no access to that data.

The User is solely responsible for the compliance of the storage and processing of Client Data with applicable regulations (GDPR and others), for updating their Privacy Policy, and for the security of the WordPress installation.

4.2. Prohibited actions

• Decompiling, disassembling or attempting to obtain the Plugin's source code
• Selling, assigning, renting or transferring the Plugin or the License Key to third parties
• Removing or altering copyright notices in the Plugin's code
• Using the Plugin to process data in a way that violates laws or the rights of third parties
• Sharing the License Key to activate on multiple domains simultaneously

5. Intellectual property

The Plugin, including all code, design and documentation, is the exclusive property of media-met and is protected by applicable copyright laws.

This Agreement transfers no ownership rights to the User — it grants only the right of use described in Section 2. All improvements made by media-met remain the exclusive property of media-met.

6. Third-party integrations

The Plugin supports optional integrations (SMTP e-mail services, WooCommerce, Stripe and similar). media-met has no control over the availability, accuracy or terms of those services.

• The costs and terms of use of integration services are determined solely by their providers
• media-met is not liable for errors, interruptions or changes in third-party services
• The User is responsible for compliance with the terms of use of each integrated service

7. Right of withdrawal and refunds

Right to unilateral termination: The Buyer has the right to withdraw from the purchase within 14 days without stating a reason, in accordance with the Croatian Consumer Protection Act (NN 19/22 et al.) and EU Directive 2011/83/EU.

Legal persons purchasing for business purposes are not consumers within the meaning of the Consumer Protection Act; disputes are resolved under this Agreement and applicable Croatian commercial law.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1. media-met does not warrant that the Plugin will operate without errors or interruptions, or that it will be compatible with future versions of WordPress or PHP. The Plugin is provided “as is”.

8.2. media-met is not liable for any direct or indirect damage arising from use of the Plugin, including but not limited to: lost profit, data loss, business interruption or damage from third-party services.

8.3. The total liability of media-met under this Agreement shall in no case exceed the amount the User paid for the license.

9. Data protection — DPA

Within the meaning of the GDPR (EU Regulation 2016/679):

• media-met acts as a Processor only to the extent that the Plugin communicates with the media-met license server for license verification (only the domain and License Key are transmitted — no Client Data)
• The User acts as the Controller of all client business data stored in the Plugin
• This section constitutes a Data Processing Agreement (DPA) between the parties with respect to license-check communication

9.1. media-met's obligations as Processor

• Process the data (domain, License Key) solely for the purpose of license validation
• Not share that data with third parties
• Implement appropriate technical data-protection measures
• Notify the User promptly of any security breach

10. Termination

10.1. Automatic termination

• On expiry of the Annual license, if the User does not renew (does not apply to the Lifetime license)
• If the User breaches any term of this Agreement
• By the User deleting or uninstalling the Plugin

10.2. Consequences of termination

Upon termination of the Agreement, the User undertakes to uninstall the Plugin and remove all copies. media-met reserves the right to deactivate the License Key.

11. Governing law and disputes

This Agreement is governed by the law of the Republic of Croatia. The parties shall attempt to resolve any dispute amicably. If an amicable resolution is not possible, the court with subject-matter jurisdiction in Karlovac shall have jurisdiction.

For consumer disputes, the User may contact the State Inspectorate or use the EU online dispute resolution platform at ec.europa.eu/consumers/odr.

12. Final provisions

12.1. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Plugin and supersedes all prior arrangements or communications.

12.2. Amendments

media-met reserves the right to amend this Agreement for future versions of the Plugin. Users will be notified of material changes by e-mail or a notice in the admin panel.

12.3. Severability

If any provision of this Agreement is found to be void or unenforceable, the remaining provisions remain in force.

12.4. Language

This Agreement was drawn up in the Croatian language, which is authoritative. This English version is provided for information.
